Effective from: 8 November 2026

1. Introductory provisions

These terms of use (hereinafter: the terms) govern rights and obligations in the use of the website https://kiroptera.com, our profiles and content on social media, the newsletter, free consultations and other free services (hereinafter: free services).

The provider of the free services (hereinafter: the provider) is:

  • Kiroptera Consulting, Robert Babić s.p.

  • Vojkova cesta 63, 1000 Ljubljana, Slovenia

  • registration number: 9770712000

  • tax number: 76242943

  • email: info@kiroptera.com

These terms are general terms and conditions within the meaning of Article 120 of the Slovenian Obligations Code (OZ). Please read them carefully before using the free services. By using the free services you confirm that you have read and agree to the terms, and you accept them expressly before booking a free consultation. If you do not agree with the terms, do not use the free services.

2. Definitions

  • Provider: Kiroptera Consulting, Robert Babić s.p.

  • Website: the website https://kiroptera.com with all its subpages, including the Knowledge Center, and the provider’s profiles and content on social media.

  • Free services: use of the website and its content, the Knowledge Center, booking and holding a free consultation, receiving the newsletter, and communication with the provider through the published contact details and other channels for which the provider does not charge.

  • Paid services: services the provider performs on the basis of a proposal confirmed in writing or a written contract.

  • User: a natural or legal person who uses the free services (hereinafter also: you).

  • Consumer: a user who is a consumer under the law governing consumer protection.

3. Validity of the terms

The terms apply to all free services unless otherwise agreed in writing for a particular service.

Paid services are governed by the accepted proposal and the General Terms of Business, and these terms apply to them on a subsidiary basis. Where these terms differ from the General Terms of Business or the proposal, the General Terms of Business or the proposal prevail.

The terms apply from the day they are published on the website until amendments or new terms are published.

4. Use of the website and content

Content on the website and in other free services, such as articles, videos and other materials, is general in nature and intended for information. It is not legal, tax or other professional advice for your specific case and does not replace individual advice.

The provider strives to keep the content accurate and up to date but does not guarantee that it is complete, error-free or suitable for your purpose. Regulations and their interpretation change, so the content reflects the situation on the date of publication.

The provider is not responsible for the content of third-party websites linked from the website.

The provider may change or remove content at any time and temporarily or permanently restrict access to the free services, in particular for maintenance or security reasons.

5. Free consultation

Booking a time does not oblige the provider to hold the consultation. The provider may cancel a booked time or refuse a booking, in particular where the user has already had a free consultation or did not attend a booked consultation. The provider informs the user of a cancellation by email.

The free consultation is for information only and is not legal, tax or other binding professional advice. It is based on the facts presented by the user, which may be incomplete, so it does not include in-depth analysis, verification or research. The purpose of the consultation is for the user and the provider to get to know each other and assess the options for further cooperation.

Because the consultation is free and informational, to the extent permitted by law the provider is not liable for the accuracy, completeness or usefulness of the information provided or for the consequences of relying on it. This limitation does not apply to damage caused intentionally or through gross negligence, or in other cases where liability cannot be excluded by law.

The consultation does not create an obligation to advise on a specific matter. Paid services are agreed through a proposal confirmed in writing or a written contract.

6. Knowledge Center

In the Knowledge Center and on its social media profiles, the provider publishes free educational content intended for the general public. The content reflects the provider’s interpretation of the topics covered on the date of publication, is not legally binding and does not create obligations for the provider.

The provider freely decides on the selection of content and may change or remove it at any time without prior notice.

7. Newsletter

If you subscribe to our newsletter, we send you informative content and information about our services by email. The newsletter is free of charge. You can unsubscribe at any time through the unsubscribe link in each message or by writing to info@kiroptera.com. More on the processing of personal data is in our Privacy Policy.

8. Liability

The free services are provided as they are. The provider does not guarantee their uninterrupted operation or fitness for a particular purpose, so the user decides whether the content is suitable for their purpose.

The provider is not liable for damage resulting from the use of the free services or reliance on their content, unless the damage is caused intentionally or through gross negligence. Liability for intent or gross negligence cannot be excluded in advance (Article 242(1) OZ). This limitation also does not affect the rights guaranteed to consumers by mandatory rules.

The user is responsible for the accuracy of the data they provide to the provider.

9. Additional consumer protection

The provisions of this section apply to users who are consumers and to paid services agreed between the provider and a consumer at a distance or off the provider’s business premises.

9.1 Right of withdrawal

The consumer has the right to notify the provider within 14 days that they are withdrawing from the contract, without giving any reason (Article 134 of the Slovenian Consumer Protection Act, ZVPot-1). For a service contract, the withdrawal period starts on the day the contract is concluded (Article 136(3) ZVPot-1).

The consumer sends the notice of withdrawal to info@kiroptera.com or to the provider’s address. They may use the form annexed to these terms or any other unequivocal statement showing that they are withdrawing from the contract. The withdrawal is in time if the notice is sent before the withdrawal period expires.

Upon withdrawal, the provider refunds all payments received to the consumer without delay and at the latest within 14 days of receiving the notice, using the same means of payment as the consumer used, unless the consumer expressly agrees otherwise (Article 143 ZVPot-1).

If the consumer expressly requested the provider to begin performing the service before the withdrawal period expired and then withdraws from the contract, the consumer pays the provider an amount proportionate to the service performed until the day the consumer informed the provider of the withdrawal (Article 141(3) ZVPot-1).

The consumer has no right of withdrawal once the provider has fully performed the service, if performance began with the consumer’s express prior consent and acknowledgement that they lose the right of withdrawal once the contract is fully performed (point 4 of Article 135 ZVPot-1).

9.2 Complaints and out-of-court dispute resolution

The consumer sends complaints to info@kiroptera.com or to the provider’s address. The provider confirms receipt of the complaint and replies to the consumer within eight business days at the latest.

The provider does not recognise any out-of-court consumer dispute resolution provider as competent to resolve disputes that a consumer could initiate under the Slovenian Out-of-Court Settlement of Consumer Disputes Act (ZIsRPS).

9.3 Liability for defects in services

The provider is liable for defects in paid services performed in accordance with the Obligations Code and consumer protection rules. The consumer reports a defect to info@kiroptera.com and describes it as precisely as possible.

10. Minors

The free services are intended for adults. The provider does not knowingly collect personal data of minors without the consent of their parents or legal guardians where such consent is required.

11. Intellectual property

11.1 Content

Texts, videos, images, graphics, logos and other materials on the website and in other free services are copyright works or other subject matter protected by the intellectual property rights of the provider or its licensors. Using the free services does not give the user any rights in them. The user may use the content for personal, non-commercial purposes and quote it with attribution to the extent permitted by law. Any other use, in particular reproduction, adaptation, distribution or communication to the public for commercial purposes, requires the provider’s prior written permission.

11.2 Distinctive signs

In its business, the provider uses distinctive signs, in particular the sign KIROPTERA and its logo. Use of these signs without the provider’s prior written permission is not allowed, except to the extent permitted by law.

11.3 Infringements

In the event of an infringement, the provider may assert all claims available under copyright and industrial property law and the Obligations Code, in particular claims to cease the infringement and for damages.

12. Client testimonials

The provider publishes client testimonials, names or distinctive signs only on the basis of the client’s specific and express consent, which may be withdrawn at any time. When publishing testimonials, the provider states whether and how it verifies that they come from clients who actually used the service.

13. Protection of personal data

The provider processes personal data in accordance with the General Data Protection Regulation (GDPR) and the Slovenian Personal Data Protection Act (ZVOP-2). Details are in the Privacy Policy and the Cookie Policy. These policies inform you about the processing of personal data and are not contractual documents that you have to accept.

14. Final provisions

14.1 Legal capacity

The user warrants that they have the legal capacity to accept these terms. Anyone acting on behalf of a legal person warrants that they are authorised to do so.

14.2 Partial invalidity

If any provision of these terms is void or unenforceable, this does not affect the validity of the other provisions.

14.3 Relationship to other agreements

Where these terms and a written contract or accepted proposal differ, the contract or proposal prevails. Matters governed neither by the contract nor by these terms are governed by the applicable regulations. The user’s general terms and conditions do not apply unless the provider expressly agrees to them in writing.

14.4 Governing law

These terms and the relationships arising from them are governed by the law of the Republic of Slovenia. The choice of law does not deprive a consumer of the protection afforded by the mandatory provisions of the law of the country of their habitual residence.

14.5 Jurisdiction

Disputes fall within the jurisdiction of the court with subject-matter jurisdiction in Ljubljana. Where the user is a consumer, jurisdiction is determined by the mandatory rules protecting consumers.

14.6 Changes to the terms

The provider may amend these terms. Amendments are published on the website and take effect on the day of publication, unless they provide otherwise. Each use of the free services is governed by the version published at the time of use. Amendments apply to contracts for paid services already concluded only if the parties so agree. The provider recommends that you save the current version of the terms.

14.7 Language versions

These terms are drawn up in English. If the provider publishes translations, the English version prevails in case of discrepancies.

Annex: Model withdrawal form

The form follows the model withdrawal form in Annex I(B) to Directive 2011/83/EU on consumer rights, which in Slovenia is prescribed by the Rules on forms for exercising the right of withdrawal from contracts concluded at a distance or off-premises (Uradni list RS, No. 139/22).
